## Airdrop Timeline

Registration must be completed within the timeline below. Otherwise, your airdrop will be forfeited.

## 1. Introduction

These Airdrop Terms & Conditions (“Terms”) govern your participation in and receipt of CYS or other eligible tokens (“Tokens”) through the airdrop program (“Airdrop”) organized by Cysic Foundation, a Cayman Islands Exempted Foundation Company (“Cysic, the Foundation, we, or us”).

By submitting a Wallet (as defined below), interacting with the Airdrop claim interface, or claiming Tokens, you acknowledge that you have read, understood, and agreed to these Terms in full.

Your participation in the Airdrop is entirely voluntary and at your own risk. It is solely your responsibility to obtain independent legal, tax, financial, or other professional advice before participating.

By participating in the Airdrop, you agree that all disputes related to the Airdrop will be resolved through individual arbitration, and you expressly waive any rights to participate in class actions, class arbitrations, or representative actions.

## 2. Eligibility

You must be at least 18 years of age and not a Prohibited Person.

A Prohibited Person includes any individual or entity that:

1. Is the subject of sanctions administered by any governmental or regulatory authority, including sanctions lists published by the EU, UK, U.S. (e.g., OFAC’s SDN List), UN, or other relevant authority.
2. Is located, incorporated, or resident in any jurisdiction subject to comprehensive sanctions or embargoes (“Prohibited Geo”).

You agree not to use VPNs, proxies, or similar tools to circumvent geo-blocking or sanctions controls. Deliberate circumvention or attempted circumvention may result in permanent disqualification from the Airdrop.

You represent and warrant that your participation does not violate any applicable laws, sanctions, export controls, or other restrictions. You further agree not to transfer Tokens received in the Airdrop to any person or Wallet that would violate these Terms if that person attempted to claim the Tokens directly.

#### **Screening**:

Cysic may use independent blockchain analytics providers (”Screening Service Providers”) and IP/geolocation tools to assess Airdrop eligibility.

You consent to:

(a) the screening of your IP address or Wallet, and

(b) potential requests for additional information to verify eligibility.

Cysic may deny or block Airdrop access based on information indicating elevated sanctions, AML, or prohibited-geography risks.

## 3. Participation & Claiming

To ensure accurate eligibility and distribution calculations, the following snapshots were taken:

Only Wallets recorded in the snapshot are eligible to claim Tokens through the official Cysic Airdrop website during the designated claim window. Tokens unclaimed by the end of the claim period are forfeited permanently.

To participate, you must connect a compatible Web3 wallet (“Wallet”). You acknowledge that:

* Failure to connect a Wallet may result in forfeiture of Tokens.
* You may incur third-party fees (e.g., Ethereum/Base gas fees) to claim Tokens.
* The Foundation does not control your Wallet or private keys.
* Any issues with Wallet providers or networks are outside our control.

Cysic reserves the right, in its sole discretion, to determine:

* Whether you are eligible to receive Tokens, and
* The exact number of Tokens allocated to you.

Any Token amount displayed in the interface is an estimate only. Final allocations may be adjusted.

#### **No Consideration; No Contract for Value**

The Airdrop is distributed gratuitously.

Receiving Tokens does not require payment, service, or consideration of any kind.

Participation does not create any contractual, fiduciary, or commercial relationship between you and the Foundation.

The Foundation has no obligation to provide notice regarding eligibility criteria or updates before, during, or after the Airdrop.

## 4. Risk Acknowledgment

You understand and agree that participation in the Airdrop involves substantial risks, including but not limited to:

* Technical risks: wallet failures, network congestion, bugs, blockchain reorgs.
* Regulatory risks: laws and regulations evolving unpredictably.
* Market risks: Token value may fluctuate significantly or drop to zero.

You acknowledge that:

* Third-party wallets or services may fail, preventing you from claiming Tokens. Cysic is not liable for such failures.
* Gas fees, transaction times, or blockchain reliability vary and may prevent timely claims.
* Tokens distributed in the Airdrop are not intended to be securities, investment contracts, units in a fund, or any regulated financial products.
* These Terms are not a prospectus, offering memorandum, or solicitation for investment.

No regulatory authority has reviewed or approved these Terms.

## 5. Tax & Other Obligations

You are solely responsible for:

* Any tax liabilities arising from receiving Tokens.
* Required reporting to tax or governmental authorities.

Foundation-provided information is for general informational purposes only and should not be considered tax, financial, or legal advice.

## 6. No Liability

To the maximum extent permitted by law, you release Cysic, its affiliates, founders, directors, employees, contractors, and agents from any claims or liability related to:

* Participation in the Airdrop
* Token receipt, loss, or use
* Wallet or private-key issues
* Technical failures
* Geo-blocking or sanctions enforcement
* Website or smart-contract errors

Your use of the Airdrop interface is at your own risk.

## 7. Indemnification

You agree to defend, indemnify, and hold harmless Cysic and its team against any claims, damages, losses, liabilities, or legal costs arising from:

* Your participation in the Airdrop
* Your use or transfer of Tokens
* Your breach of these Terms
* Your violation of applicable laws

## 8. Changes & Termination

We may modify, suspend, or terminate the Airdrop or these Terms at any time, with or without notice, for any reason, including compliance reasons.

Such actions will not result in any liability to you.

## 9. Governing Law & Arbitration

These Terms are governed by the laws of the Cayman Islands.

All disputes arising out of or related to the Airdrop shall be resolved through binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures.

Class actions, class arbitrations, and representative actions are expressly waived.

## 10. Acceptance

By clicking “claim,” connecting a Wallet, or otherwise interacting with the Airdrop interface, you confirm that:

* You have read and understood these Terms.
* You agree to abide by them.
* You meet all eligibility requirements.

## 11. Entire Agreement

These Terms constitute the entire agreement between you and the Foundation regarding the Airdrop and supersede any prior discussions, communications, or understandings.

Any updates will be reflected by the “Last Revised” date above.

## 12. Severability

If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force. The invalid provision shall be modified only to the extent necessary to make it valid and enforceable.
